The rules of procedure for arbitration proceedings pursuant to GCC Sub-Clause 34.2 shall be as follows:

(a) Contract with a Bhutanese Supplier:

In the case of a dispute between the Procuring Agency and a Bhutanese Supplier, the dispute shall be referred to Bhutan Alternative Dispute Resolution Center (BADRC) for arbitration.

Contracts entered into with foreign suppliers may have practical advantages in resolving disputes through international commercial arbitration over other dispute settlement methods. The Procuring agency may wish to consider the rules that govern the arbitration proceedings, such as:

â??Any dispute, controversy or claim arising out of or relating to this Contract, or breach, termination or invalidity thereof, shall be settled by arbitration in accordance with ( Select as appropriate):

The Supplier shall insure the Goods, in a freely convertible currency from an eligible country, against all risks of loss or damage incidental to manufacture, acquisition, transportation, storage, and delivery, until acceptance by the Procuring Agency. Insurance shall cover at minimum: transit risks, handling risks, and storage risks, in accordance with the applicable Incoterms.

The packing, marking and documentation within and outside the packages shall comply with exportâ??worthy standards and shall include, as applicable, strong protective packing, clear markings (contract number, supplier details, gross/net weight, dimensions, handling instructions, destination), and documentation (packing list, delivery note, warranty certificate, inspection certificate, insurance certificate, and relevant shipping documents

Details of shipping and other documents to be furnished by the Supplier shall include, as applicable: a negotiable bill of lading, a nonâ??negotiable sea waybill, an airway bill, a railway consignment note, a road consignment note, an insurance certificate, the Manufacturerâ??s or Supplierâ??s warranty certificate, an inspection certificate issued by the nominated inspection agency, and the Supplierâ??s factory shipping details. All such documents shall be received by the Procuring Agency before the arrival of the Goods. Failure to furnish the required documents in time shall render the Supplier responsible for any consequent expenses, if applicable for the goods/materials.

Details of shipping and other documents to be furnished by the Supplier shall include, as applicable: a negotiable bill of lading, non-negotiable sea waybill, an airway bill, a railway consignment note, a road consignment note, an insurance certificate, the Manufacturer’s or Supplier’s warranty certificate, an inspection certificate issued by the nominated inspection agency, and the Supplier’s factory shipping details shall be produced upon requested by the Procuring Agency (written notice).
